1. Introduction & Overview
Welcome to FarmNexus ("we," "us," or "our"). These Terms and Conditions govern your access to and use of our website, web applications, and modular farm management workspace services (collectively, the "Service").
By creating an account, activating a module, or using FarmNexus, you ("User," "Client," or "Subscriber") agree to be bound by these Terms. If you do not agree, you must refrain from using the Service.
2. Description of Service & Licensing
FarmNexus provides a modular cloud-based farm management platform.
Workspace & Modules: You can activate individual modules (such as Diesel Log, Dairy Log, Sheep Log, Cattle Log, Farm Budget, Field Log, and included Nexus Notes).
License Grant: Upon registration and payment of applicable fees, FarmNexus grants you a non-exclusive, non-transferable, revocable license to access and use the platform for your internal farming operations.
3. Pricing & Billing Terms
3.1 Fee Structure
Activation Fee: A once-off activation fee of R1,000 applies per activated module (e.g., Diesel, Dairy, Sheep, Cattle, Farm Budget, Field Log).
Monthly Subscription Fee: A flat fee of R200 per month applies per workspace, regardless of how many modules are active within that workspace.
Included Features: Nexus Notes is provided free of charge with every active workspace.
3.2 Free Trial
Trial Period: New workspaces receive a 28-day (4-week) free trial with full access to selected modules. No activation or monthly fees are charged during the trial.
After Trial: When the trial ends, the monthly subscription fee and per-module activation fees apply as described below unless you cancel or we agree otherwise in writing.
3.3 Payment Methods & Recurring Billing
Subscription fees are billed in advance on a recurring monthly cycle.
You agree to provide valid and up-to-date payment details.
Failure to pay monthly subscription fees may result in temporary suspension or termination of access to your FarmNexus workspace and module data.
4. Delivery Policy (Digital Fulfillment)
Because FarmNexus is a Software-as-a-Service (SaaS) solution, no physical goods are shipped or delivered.
Fulfillment Method: All services, workspace activations, and software features are delivered electronically via cloud access.
Delivery Timeline: Instant to within 24 hours. Once your account is registered and the module activation fee is processed, access to the activated module(s) and workspace features is granted immediately.
Technical Requirements: You are responsible for ensuring you have a working internet connection and compatible browser/device to access FarmNexus.
5. Cancellation Policy
5.1 Subscription Cancellation
You may cancel your monthly subscription at any time by contacting us directly at accounts@farmnexus.net or via your account management options.
Effect of Cancellation: Your subscription will remain active until the end of the current paid monthly billing cycle. You will not be billed for subsequent months following your cancellation request.
5.2 Account Termination
FarmNexus reserves the right to suspend or terminate accounts that violate these Terms, engage in unlawful activity, or have delinquent account balances.
6. Refund Policy
6.1 Once-Off Module Activation Fees
Non-Refundable: Module activation fees (R1,000 per module) cover the initial setup, database provisioning, and onboarding for your workspace. These fees are non-refundable once the module has been activated and access has been granted.
6.2 Monthly Subscription Fees
No Partial Refunds: Monthly subscription fees (R200/month) are non-refundable for partial months used. If you cancel mid-month, you will retain access until the end of that billing cycle, but no prorated refund will be issued for remaining days.
6.3 Exceptional Circumstances
If you experience a major technical fault or system outage attributable directly to FarmNexus that prevents you from accessing the service for an extended period, please contact accounts@farmnexus.net to request a billing review. Refunds or billing credits in such cases are granted at our sole discretion.
7. Data Privacy & Backup
Data Ownership: You retain full ownership of all farming, livestock, and operational data you input into FarmNexus.
Security & Sync: We implement industry-standard security and cloud sync measures to protect your data. However, users are encouraged to utilize available export options (such as Excel log exports) to maintain offline records.
8. Limitation of Liability
FarmNexus is provided on an "as-is" and "as-available" basis.
While modules like Diesel Log are designed to assist with record-keeping (such as SARS diesel refund compliance), FarmNexus does not guarantee official tax, financial, or regulatory approval. You remain responsible for verifying the accuracy of all logged data.
FarmNexus shall not be liable for any indirect, incidental, special, or consequential damages resulting from data loss, service interruptions, or farm management decisions made using the Service.
